Overview
These Terms and Conditions ("Terms") govern your use of reelgoodsocial.com (the "Site") and any services provided by Reel Good Social ("we," "us," or "our"), a social media and digital marketing agency based in Eugene, Oregon. By accessing this Site or engaging our services, you agree to these Terms in full.
Services & Pricing
We offer social media and digital marketing services, including packages listed on this Site. Listed package prices are starting points — final pricing may vary based on your specific needs and will be outlined in a written proposal and accompanying Scope of Work prior to engagement.

All services are governed by a separate Client Agreement and Scope of Work, which take precedence over these Terms in the event of any conflict.
Payment Terms
Prepayment Required: Payment is due in full before services begin each month. We will invoice you at least five (5) business days prior to the start of each service period. Services will not commence or continue until payment is received and confirmed.

Minimum Commitment: All engagements require a minimum three (3) month commitment. You may not cancel prior to the end of this minimum term, and remaining fees through the end of the term remain due upon early termination.

Month-to-Month: After the minimum term, agreements continue on a month-to-month basis until either party provides 30 days' written notice of termination.

Late Fees: Payments not received by the due date will accrue interest at 1.5% per month, or the maximum rate permitted by law, whichever is lower.

Overages: Work performed beyond the agreed monthly scope will be billed at $80/hour. You will be notified when you are approaching your monthly limit.
Suspension of Services
Timely payment is a material condition of our agreement. If payment is not received by the due date, we reserve the right to immediately suspend all work — including content creation, scheduling, posting, and community management — until your account is brought current. We are not liable for any loss of engagement, reach, or business opportunity resulting from a service suspension due to non-payment.
Scope & Change Orders
Services are limited to the deliverables and hours outlined in the Scope of Work. Any requests outside the agreed scope — including additional platforms, extra content, or rush requests — require written confirmation (email is acceptable) and may be billed as an overage at our standard rate.
Intellectual Property
Your Ownership: Upon receipt of full payment, you own the final delivered content — including published video files, captions, and graphics.

Our Ownership: We retain all rights to underlying methodologies, strategies, templates, raw footage, working files, and design frameworks used to produce your deliverables. You receive a license to use final deliverables but may not resell or distribute our templates or strategies.

Portfolio Rights: We reserve the right to display completed work and describe our services in our portfolio, website, case studies, and social media for professional self-promotion purposes.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information — including passwords, upcoming campaigns, customer data, and strategy documents — shared during the engagement. This obligation survives the termination of any agreement between us.
Professional Conduct
We are committed to a professional and respectful working relationship. We reserve the right to terminate any engagement immediately if we are subjected to hostile, abusive, or disrespectful behavior. In such cases, pre-paid retainer fees for the current month are non-refundable, and any outstanding fees for work completed are immediately due.
Warranties & Indemnification
Our Warranty: We warrant that all original work we deliver is our own and does not infringe upon any third party's copyright, right of privacy, or right of publicity. We will indemnify you against any claims arising from a breach of this warranty.

Your Warranty: You warrant that all materials, claims, and information you provide to us are accurate, truthful, and lawful. You assume sole responsibility for ensuring your products, services, and marketing claims comply with all applicable laws and regulations. You agree to indemnify and hold us harmless from any claims arising from your materials or business operations.
Limitation of Liability
To the maximum extent permitted by law, our total liability under any claim shall be limited to the total fees you paid us in the one (1) month preceding the claim. We are not liable for lost profits, loss of data, or performance impacts resulting from algorithmic changes by social media platforms.
Force Majeure
Neither party is liable for delays or failure to perform due to causes beyond their reasonable control, including natural disasters, internet infrastructure failures, government actions, pandemics, or labor disputes. If we are unable to perform services, we will notify you promptly, issue a prorated refund or credit for unrendered services, and release you from further payment obligations for that period.
Independent Contractor
Reel Good Social operates as an independent contractor. We are not your employee and are solely responsible for our own taxes, equipment, and benefits.
Governing Law
These Terms are governed by the laws of the State of Oregon. Any disputes arising under these Terms shall be resolved exclusively in the federal or state courts located in Oregon.
Modifications
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the Site or our services after changes are posted constitutes your acceptance of the updated Terms.
